Nigerian Breweries Completes Full Acquisition of Heineken Nigeria
Nigerian Breweries Plc (NB) has officially acquired the remaining 20% stake in Distell Wines and Spirits Nigeria Limited (DWSN), solidifying its full ownership of the company. This move marks a significant milestone in NB’s strategic expansion beyond beer into the wines, spirits, and ready-to-drink (RTD) categories.
The acquisition follows a sale and purchase agreement with Ekulo International Limited and Next International Nigeria Limited—two minority shareholders who each held a 10% stake in DWSN. Before this, NB had already secured an 80% majority stake in the company in June 2024.
In a statement signed by company secretary Uaboi Agbebaku, Nigerian Breweries confirmed the transaction’s completion, emphasizing that full ownership would streamline decision-making and operational efficiencies.
To enhance production capacity for DWSN brands, Nigerian Breweries has relocated its manufacturing operations from a rented facility to its premises. This move is expected to drive cost efficiencies through economies of scale while strengthening NB’s position in the fast-growing wine and spirits market.
Key local brands under DWSN include Chamdor, 4th Street, Hunters Dry, and Savanna, while NB’s imported portfolio boasts Amarula Cream Liqueur, Drostdy-Hof, Nederburg wines, and Bain’s whisky.
The acquisition process was finalized following approval from the South African Reserve Bank (SARB), clearing the path for full integration. With this latest development, Nigerian Breweries is poised to leverage its vast distribution network and expertise to drive growth in Nigeria’s evolving alcoholic beverage industry.
