CBN Mandates Banks to Publicly Announce MD Successors Three Months Before Departure.

The Central Bank of Nigeria (CBN) has directed Domestic Systemically Important Banks (DSIBs) to announce new managing directors (MDs) at least three months before the departure of their predecessors. The decision is aimed at minimizing leadership disruptions and ensuring stability in the nation’s financial system.

In a recent circular signed by Rita Sike, the Director of Financial Policy and Regulation at the CBN, the apex bank emphasized the importance of effective succession planning. DSIBs, which are large enough to impact the broader economy if they fail, are required to obtain regulatory approval for the appointment of a new MD no later than six months before the incumbent’s tenure ends.

“The requirement seeks to minimise disruptions at the top management level, enable top management appointees to prepare adequately for their new roles, and generally mitigate risks associated with abrupt changes in leadership,” the circular states.

This move comes as part of CBN’s ongoing effort to safeguard financial system stability. DSIBs are tasked with publicly announcing the new MD or CEO at least three months before the incumbent steps down.

The CBN further stressed the role of these institutions in ensuring the health of the economy. “In recognition of the critical role that Domestic Systemically Important Banks (DSIBs) play in sustaining financial system stability, the CBN hereby reiterates the importance of effective succession planning in these institutions.”

This policy aims to align with best practices in corporate governance, providing clear leadership transitions in a sector vital to the nation’s financial stability.
